Senior Legal Counsel – Dubai, UAE | AW HOLDING INT’L

🔹 Key Responsibilities:

• Authoritative Counsel: Provide expert legal advice on complex corporate, commercial, and civil matters, ensuring alignment with UAE Federal and Free Zone laws.
• Complex Drafting: Draft, review, and lead negotiations for high-stakes agreements including Shareholder Agreements, JVs, and cross-border commercial contracts.
• Dispute Resolution: Manage litigation and arbitration proceedings, coordinating representation within DIAC, ADGM, and DIFC court systems.
• Regulatory Oversight: Ensure rigorous compliance with AML/CTF requirements and maintain the group’s internal governance frameworks.
• Strategic Structuring: Advise senior management on legal risks associated with corporate restructuring, licensing, and strategic business expansions.
• Stakeholder Liaison: Coordinate with government authorities, regulatory bodies, and external legal partners to protect the organization’s interests.

🔹 Requirements:

• Education: Bachelor’s Degree in Law (LLB) is mandatory; an LLM or specialized Master’s is an added advantage.
• Experience: 8–12+ years of relevant legal experience, with a significant portion spent within the UAE or GCC region.
• Linguistic Ability: Exceptional legal drafting and negotiation skills in both English and Arabic.
• Jurisdictional Knowledge: Proven experience navigating UAE government authorities and various regulatory entities.
• Technical Proficiency: Solid understanding of international commercial transactions and intellectual property law.
• Leadership Mindset: Ability to manage complex files independently and provide strategic guidance at a board-room level.
